  15.             WITH PERFORMANCE TECHNOLOGY, INC. FOR
  16.             ACQUISITION AND MERGER

  18.             (TUCSON, AZ  --  April  20, 1992)  --  Artisoft,  Inc.,  the
  19.             Tucson-based developer and manufacturer of the award-winning
  20.             LANtastic Local Area  Network, today announced  that it  has
  21.             signed a letter of intent with Performance Technology,  Inc.
  22.             to acquire  Performance Technology  in a  statutory  merger.
  23.             Performance Technology will be maintained as a wholly  owned
  24.             subsidiary of Artisoft.  Under the  terms of  the letter  of
  25.             intent,  the  shareholders  and  stock  option  holders   of
  26.             Performance  Technology  will  receive  300,000  shares   of
  27.             Artisoft common stock in exchange for their interest in
  28.             Performance Technology.

  30.             Performance Technology, a San Antonio, Texas, privately held
  31.             company, is the  developer and manufacturer  of such  award-
  32.             winning networking products as  POWERfusion, linking PCs  to
  33.             UNIX processors, POWERsave, an archival system for networks,
